RightHen operates a professional network platform that connects startup founders with investors and provides comprehensive services including:

• Community-powered validation of startup ideas
• Professional networking between verified founders and investors
• MVP development services through our in-house team
• Investment matchmaking and pitch opportunities
• Mentorship, consulting, and business support
• Challenges and competitions for startup ideas

The selection of any idea for development, investment introduction, or other premium services is at the sole discretion of RightHen based on our evaluation criteria and business judgment.

3. User Eligibility and Accounts

3.1 Eligibility

You must meet the following requirements to use the Service:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under Indian law or any other applicable jurisdiction
• Comply with all local, state, national, and international laws and regulations

3.2 Account Registration

When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized account use
• Accept responsibility for all activities under your account
• Not create multiple accounts or share accounts with others

3.3 Account Types

• Founder Accounts: For entrepreneurs and startup founders
• Investor Accounts: For verified investors and investment firms
• Professional Accounts: For mentors, consultants, and service providers

4. User-Generated Content (UGC)

This section governs the ideas, comments, content, and other materials you submit to the Service.

4.1 Ownership

You retain full ownership of the intellectual property rights in the original content you submit, including:

• Startup ideas and business concepts
• Pitch decks and presentations
• Comments, feedback, and discussions
• Profile information and media

4.2 License to RightHen

By submitting UGC to the Service, you grant RightHen a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

• Use, reproduce, and display your UGC on the platform
• Distribute your content to other users and investors
• Prepare derivative works for platform functionality
• Promote the Service using your content (with attribution)
• Share with verified investors (with your consent)

This license is necessary for us to operate the platform and provide our services. You can revoke this license by deleting your content or closing your account.

4.3 Public Nature of Submissions

You acknowledge that:

• The platform facilitates public sharing of ideas for community validation
• Your submitted ideas and contributions are not confidential unless explicitly marked as private
• Other users may see, comment on, and discuss your content
• You should not submit information you consider highly confidential or proprietary

4.4 Content Responsibility

You are solely responsible for your UGC and represent and warrant that:

• You have all necessary rights to submit the content
• Your content does not infringe on third-party intellectual property
• Your content is accurate and not misleading
• You have the authority to grant us the license described above

5. User Conduct

You agree not to engage in any of the following prohibited activities:

5.1 Prohibited Content

• Unlawful, fraudulent, or deceptive content
• Defamatory, harassing, or threatening material
• Content that infringes intellectual property rights
• Obscene, pornographic, or inappropriate content
• Spam, advertisements, or unauthorized solicitations
• Malware, viruses, or harmful code

5.2 Prohibited Behavior

• Impersonating another person or entity
• Interfering with the proper working of the Service
• Attempting to reverse-engineer or hack our platform
• Scraping or automated data collection
• Circumventing security features or access controls
• Using the Service for illegal activities
• Manipulating votes, likes, or engagement metrics

5.3 Commercial Use

You may not use the Service for unauthorized commercial purposes without our prior written consent. This includes advertising products or services unrelated to your startup, recruiting for non-related businesses, or using extracted data for commercial purposes.

6. Membership and Payments

6.1 Membership Plans

We offer various membership tiers with different features and pricing. Current offerings include:

• Free Basic Membership
• Founder Pro (₹999/year)
• Investor Pro (₹1,499/year)
• Verified Badge (₹499/year)
• Custom development and mentorship services

6.2 Payment Terms

• All fees are in Indian Rupees (INR) unless otherwise specified
• Payments are processed securely through third-party payment providers
• Annual subscriptions auto-renew unless canceled before renewal date
• You authorize us to charge your payment method for applicable fees
• Prices are subject to change with 30 days' notice

6.3 Refunds and Cancellations

Refund and cancellation policies are detailed in our Refund Policy. Please review that policy before making a purchase.

7. RightHen's Intellectual Property

Excluding your UGC, all other aspects of the Service are the exclusive property of RightHen and its licensors, including:

• RightHen name, logo, and branding
• Website design, layout, and user interface
• Software, code, and algorithms
• Text, graphics, and other content created by RightHen
• Trademarks, service marks, and trade dress

You may not copy, modify, distribute, sell, or create derivative works from our intellectual property without explicit written permission.

Unauthorized reproduction, rewriting, or republication of content from our portal—whether verbatim or paraphrased—is strictly prohibited unless you have obtained prior written consent from RightHen. We treat such acts as infringement and reserve the right to pursue legal remedies.

8. Disclaimers

We do not guarantee that:

• The Service will be uninterrupted, timely, secure, or error-free
• Any ideas submitted will be selected for development
• Users will secure investment or achieve business success
• The platform will meet your specific requirements
• Defects or errors will be corrected

9. Limitation of Liability

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid to RightHen in the 12 months preceding the claim, or ₹10,000, whichever is less.

10. Indemnification

You agree to indemnify, defend, and hold harmless RightHen, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your breach of these Terms
• Your violation of any law or third-party rights
• Your User-Generated Content
• Any dispute between you and other users

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service will be brought exclusively in the courts of Hyderabad, Telangana, India, and you consent to the personal jurisdiction of such courts.

For disputes under ₹1,00,000, you agree to first attempt resolution through good faith negotiation or mediation before initiating legal proceedings.

12. Termination

12.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us. Upon termination:

• Your access to premium features will cease
• Your profile will be deactivated
• Some content may remain visible as part of public discussions
• Refunds subject to our Refund Policy

12.2 Termination by RightHen

We may terminate or suspend your account immediately, without prior notice or liability, if you:

• Breach these Terms
• Violate applicable laws
• Engage in fraudulent or abusive behavior
• Harm the Service or other users
• Remain inactive for an extended period

12.3 Effect of Termination

Upon termination, all provisions of these Terms which by their nature should survive will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will post the updated Terms on this page with a new "Last Updated" date
• Material changes will be communicated via email or prominent notice
• Your continued use after changes constitutes acceptance
• If you disagree with changes, you should discontinue using the Service

14. General Provisions

These Terms, together with our Privacy Policy, Refund Policy, and Cookie Policy, constitute the entire agreement between you and RightHen regarding the Service.

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

14.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.
